1. Agreement to terms

By accessing or using ATSGEEK ("Service," "platform," or "we"), operated by ATSGEEK K.K., you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you (individually or on behalf of your organisation) and ATSGEEK. If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation.

2. Description of service

ATSGEEK provides a cloud-based applicant tracking system (ATS) for recruitment agencies and talent teams. Features include:

  • Candidate management and pipeline tracking (9 stages: Lead to Placed)
  • Job mandate management with fee and milestone tracking
  • Multi-currency salary and fee tracking
  • AI-powered resume parsing (via Claude / Anthropic)
  • Team collaboration with role-based access control
  • Analytics and reporting
  • CSV import and export tools

The Service is provided via web browser. No local installation is required. Features may vary by subscription plan.

3. Accounts

You must create an account to use ATSGEEK. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.

You must provide accurate and complete information when creating your account. One organisation may have multiple user seats depending on your subscription plan. You may not share accounts or allow multiple people to use the same login credentials.

4. Subscription and payment

4.1 Plans

ATSGEEK offers monthly subscription plans (Starter, Professional, Enterprise). Current pricing is displayed on our Pricing page.

4.2 Billing

Subscriptions are billed monthly in advance. Payments are processed by Stripe, Inc. using the credit or debit card on file. Subscriptions renew automatically on a monthly basis unless cancelled before the renewal date.

4.3 Price changes

We reserve the right to change subscription prices. We will notify you at least 30 days in advance of any price increase. Continued use of the Service after the price change constitutes acceptance of the new pricing.

4.4 Cancellation and refunds

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain full access until then. We do not provide refunds for partial billing periods, except where required by applicable law.

4.5 Failed payments

If a payment fails, we will retry the charge and notify you by email. If payment remains outstanding after 7 days, your account may be suspended. Your data will not be deleted during a suspension period.

5. Free trial

New accounts may be eligible for a 14-day free trial of the Professional plan. No credit card is required to start the trial. At the end of the trial, your account will be restricted to read-only access until you select a paid plan.

We reserve the right to modify or discontinue free trials at any time without notice. Existing trials in progress will not be affected.

6. Acceptable use

You agree not to use ATSGEEK to:

  • Violate any applicable law or regulation
  • Upload candidate data without appropriate consent from those individuals
  • Discriminate in hiring based on protected characteristics in violation of applicable law
  • Attempt to gain unauthorised access to any part of the Service or other accounts
  • Reverse engineer, decompile, or disassemble the Service
  • Resell or sublicense access to the Service without written permission from us
  • Use automated means to scrape or extract data at scale
  • Introduce malware, viruses, or harmful code
  • Impersonate any person or organisation
  • Transmit unsolicited commercial messages (spam)

We reserve the right to suspend or terminate accounts that violate these acceptable use requirements.

7. Data and privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference.

You retain full ownership of all data you upload to ATSGEEK, including candidate records, company data, and documents. You grant ATSGEEK a limited, non-exclusive, worldwide licence to store, process, and transmit your data solely to provide the Service to you.

You are solely responsible for ensuring that any candidate personal data you enter into ATSGEEK has been collected lawfully, with appropriate consent, and in compliance with applicable privacy laws including APPI and GDPR.

You act as the data controller for candidate data; ATSGEEK acts as your data processor. Our data processing obligations are set out in our Privacy Policy and, for Enterprise customers, in a separate Data Processing Agreement.

8. AI features

ATSGEEK uses Claude AI (provided by Anthropic, Inc.) for resume parsing and related features. By using AI features, you acknowledge that:

  • Resume text and queries may be sent to Anthropic's API for processing
  • AI-generated results may not always be accurate and should be reviewed before use
  • You have obtained any necessary consent from candidates whose data is processed by AI systems
  • ATSGEEK is not responsible for inaccuracies in AI-generated output

We do not permit Anthropic to use data submitted through our platform for model training purposes.

9. Service level

We target 99.5% monthly uptime for Professional and Enterprise plans. Scheduled maintenance will be announced at least 24 hours in advance and conducted during low-usage hours where possible.

Downtime caused by factors outside our reasonable control (force majeure, third-party infrastructure failures, etc.) is excluded from uptime calculations.

Enterprise customers may negotiate specific SLA terms including credits for downtime in their separate Enterprise Agreement.

10. Intellectual property

ATSGEEK and its licensors own all intellectual property rights in the Service, including software, design, trademarks, and content we create. Nothing in these Terms transfers ownership of our intellectual property to you.

You retain all intellectual property rights in data you upload to the Service. You grant us a limited licence to use your logo and company name for the purpose of providing the Service (e.g. displaying it in your account interface).

11. Limitation of liability

To the maximum extent permitted by applicable law, ATSGEEK shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising from your use of or inability to use the Service.

Our total cumulative liability for any claims arising from or related to these Terms or the Service shall not exceed the total amount you paid to us in the three months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless ATSGEEK and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your use of the Service in violation of these Terms
  • Your violation of any applicable law or third-party rights
  • Candidate data you upload without appropriate consent

13. Termination

Either party may terminate this agreement at any time. You may cancel your subscription from your account settings. We may suspend or terminate your account immediately if we determine, in our sole discretion, that you have violated these Terms or engaged in fraudulent activity.

Upon termination, your right to access the Service ceases immediately. Your data will be retained for 30 days after termination to allow for data export, after which it will be permanently deleted. You may request a data export before the 30-day period expires by contacting support@talentos.io.

14. Governing law

These Terms are governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be resolved exclusively in the Tokyo District Court (東京地方裁判所) as the court of first instance, and both parties consent to the exclusive jurisdiction of that court.

15. Changes to terms

We reserve the right to update these Terms at any time. We will notify you of material changes by email at least 14 days before the changes take effect. For minor changes, we will update the "Last updated" date at the top of this page.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service before they take effect.
